Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Architech d.o.o. ("Archy AI", "we", "our", or "us"), governing your access to and use of the Archy AI platform and all associated products, APIs, websites, mobile interfaces, and support services (collectively, the "Services").

By creating an account, accessing, or using the Services, you confirm that:

• You have read, understood, and agree to be bound by these Terms and our Privacy Policy
• You are at least 18 years of age and have the legal capacity to enter into this agreement
• If you are accepting on behalf of an organisation, you have authority to bind that organisation to these Terms
• Your use of the Services complies with all applicable laws and regulations in your jurisdiction

If you do not agree to these Terms, you must not access or use the Services.

2. Description of Services

Archy AI provides an AI-powered project orchestration platform and suite of associated products:

• ArchyPlatform — AI-driven workspace for software project planning, architecture design, and delivery orchestration
• ArchyStarter — Free idea-to-context AI tool for generating project blueprints and architecture reports
• ArchyAgents — Autonomous AI agent orchestration layer enabling multi-agent workflows
• ArchyMCP — Model Context Protocol (MCP) server layer connecting AI models to enterprise tooling
• ArchyForge — AI-driven code scaffolding, boilerplate generation, and developer tooling
• ArchyKnowledgeBase — Organisational knowledge management and AI-powered documentation
• ArchySocial — AI-orchestrated social media content planning and publishing
• ArchyPress — AI-assisted content creation and publishing workflow
• Project Blueprint Reports — Purchasable, AI-generated software architecture documents
• Archy AI API — Programmatic access to Archy AI capabilities

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation.

3. Accounts & Registration

To access most Services you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password and authentication credentials secure and confidential
• Not share your account credentials or allow any third party to access the Services using your credentials
• Notify us immediately at [email protected] of any unauthorised use of your account

You are responsible for all activities that occur under your account. We are not liable for any loss resulting from unauthorised use of your account that occurs without our fault.

We may suspend or terminate accounts that are inactive for 12 months or more, with reasonable prior notice. For Microsoft Marketplace subscribers, account management is governed by the applicable Marketplace subscription terms.

4. Permitted Use

Subject to these Terms and your applicable subscription, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes.

Permitted uses include:

• Using the Services to plan, design, scaffold, and manage software projects within your organisation
• Generating AI-assisted architecture diagrams, documentation, code scaffolds, and content
• Connecting integrations (Jira, GitHub, Azure DevOps, Slack, LinkedIn, Bluesky, etc.) to automate workflows
• Accessing the Archy AI API within your rate limits and plan quotas
• Sharing outputs generated by the Services with your clients and stakeholders, subject to Section 6 (Intellectual Property)

5. Prohibited Activities

You agree not to:

• Reverse-engineer: Decompile, disassemble, or attempt to derive source code of the Services
• Circumvent security: Bypass, disable, or interfere with any security features, authentication, or access controls
• Abuse AI systems: Use the Services to generate content that is unlawful, defamatory, harassing, discriminatory, fraudulent, or that infringes third-party rights
• Train competing models: Use outputs from the Services to train, fine-tune, or develop competing AI systems without our express written consent
• Scraping & crawling: Systematically extract data from the Services beyond normal authorised API access
• Misuse of AI: Use the Services to generate malware, exploits, phishing content, weapons instructions, or any content that violates applicable laws
• Impersonation: Impersonate any person or entity or falsely claim affiliation with any person or entity
• Overload: Introduce viruses, malware, or other harmful code; conduct denial-of-service attacks or otherwise impair the Services
• Resell without authorisation: Resell, sublicense, or provide service bureau access to the Services without our written consent
• Violate marketplace policies: Use the Services in a manner inconsistent with Microsoft Marketplace terms or any applicable marketplace policies

6. Intellectual Property

6.1 Archy AI IP

All intellectual property in the Services — including software, algorithms, AI models, trademarks, logos, branding, documentation, and the Archy AI platform architecture — is owned by or licensed to Archy AI and is protected by copyright, patent, trade secret, and other applicable laws. Nothing in these Terms transfers ownership of any Archy AI IP to you.

6.2 Your Content

You retain ownership of all content, data, and materials you submit to the Services ("User Content"). By submitting User Content, you grant Archy AI a limited, worldwide, royalty-free licence to process, host, and use your User Content solely for the purpose of providing the Services to you. We do not use your User Content to train shared AI models without your explicit consent.

6.3 Generated Outputs

AI-generated outputs produced at your direction using the Services (e.g., architecture diagrams, project blueprints, code scaffolds, content drafts) are delivered to you for your use. You are responsible for reviewing AI-generated outputs for accuracy and compliance before relying on or publishing them. We make no warranties regarding the originality or non-infringement of AI outputs.

6.4 Feedback

Any feedback, suggestions, or ideas you provide to us regarding the Services may be used by Archy AI freely without compensation or attribution to you.

7. User Content & Data

You represent and warrant that: (a) you own or have the necessary rights to all User Content; (b) your User Content does not infringe any third-party rights; and (c) your User Content does not violate any applicable law.

We take reasonable technical and organisational measures to protect your data. For full details on how we collect, use, and protect personal data, please see our Privacy Policy.

You may export your User Content at any time using available export features. Upon account termination you may request data export within 30 days before your data is deleted, subject to legal retention requirements.

8. Payment & Subscriptions

8.1 Subscription Plans

Certain Services are available on a subscription basis ("Subscription Plan"). Details of available plans, pricing, features, and billing cycles are available on our pricing page and within the Services. For Services acquired through Microsoft Marketplace, billing is governed by your Microsoft Marketplace subscription agreement.

8.2 Payment

Subscription fees are billed in advance on the billing cycle stated at purchase (monthly or annual). Payment is processed by our payment partner Stripe (PCI-DSS compliant). All prices are exclusive of applicable taxes (VAT, GST, sales tax) unless expressly stated otherwise. You are responsible for all applicable taxes.

8.3 Free Tier & Trials

We may offer a free tier or trial period. At the end of any trial, continued use requires a paid subscription. We reserve the right to modify or terminate free tiers at any time with reasonable notice.

8.4 Cancellation & Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods, except where required by applicable consumer protection law or as expressly stated at the time of purchase. European consumers have a statutory 14-day cooling-off right where applicable.

8.5 Price Changes

We may change subscription pricing with at least 30 days' notice. Continued use of the Services after the price change takes effect constitutes acceptance of the new pricing.

9. Third-Party Services

The Services integrate with and may link to third-party services, platforms, and APIs. These include but are not limited to:

• Microsoft Azure — Cloud infrastructure, AI models, DevOps, and marketplace
• Supabase — Database and authentication
• Google (including Google Cloud, Analytics, OAuth)
• Meta (Facebook, Instagram, Threads) — Social integrations
• LinkedIn — Professional network integrations and content publishing
• Bluesky (AT Protocol) — Social content distribution
• Atlassian (Jira), GitHub, Slack, Azure DevOps — Developer workflow integrations
• Stripe — Payment processing

Your use of third-party services is governed by those parties' own terms of service and privacy policies. We are not responsible for the content, availability, security, or practices of any third-party services. Integration connections you authorise are initiated by you, and you are responsible for the permissions you grant to third-party services.

10. Disclaimers & Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. ARCHY AI EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

• The Services will be uninterrupted, error-free, or secure
• AI-generated outputs will be accurate, complete, up-to-date, or free of bias
• The Services will meet your specific requirements
• Defects will be corrected

AI-generated outputs are advisory and informational only. You must independently verify all outputs before relying on them for commercial, legal, medical, financial, or other significant decisions. Archy AI does not provide legal, financial, architectural, or professional engineering advice.

Where mandatory consumer protection laws apply (including in the EU and UK), statutory warranties that cannot be excluded by contract remain in full force.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ARCHY AI, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, punitive, or exemplary damages
• Loss of profits, revenue, business, data, or goodwill
• Damages arising from reliance on AI-generated outputs
• Damages arising from third-party service failures

IN ANY CASE, OUR TOTAL AGGREGATE LIABILITY TO YOU ARISING FROM OR IN CONNECTION WITH THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO ARCHY AI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) CAD $100.

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ARCHY AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions (including EU member states and certain Canadian provinces) do not allow the exclusion or limitation of certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Archy AI and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to the Services
• Your breach of these Terms
• Your User Content
• Your violation of any third-party rights
• Your violation of any applicable law

13. Termination

13.1 By you

You may terminate your account and cease using the Services at any time by cancelling your subscription and closing your account in the account settings.

13.2 By Archy AI

We may suspend or terminate your access to the Services immediately and without prior notice if:

• You breach these Terms
• We are required to do so by law or legal authority
• Your account activity poses a security risk or adversely affects other users
• You fail to pay applicable fees after reasonable notice

For non-material breaches we will attempt to provide 30 days' notice and an opportunity to cure before termination, except where immediate action is required for security reasons.

13.3 Effect of Termination

Upon termination: (a) your licence to use the Services ends immediately; (b) you must cease all use of the Services; (c) you may request export of your data within 30 days of termination; (d) Sections 6, 10, 11, 12, 14, and 15 survive termination.

14. Governing Law & Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Croatia, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

14.2 Jurisdiction

Any dispute arising from these Terms or the Services that is not resolved by negotiation or alternative dispute resolution shall be subject to the exclusive jurisdiction of the courts of Croatia.

14.3 EU & UK Consumer Rights

If you are a consumer in the European Union or United Kingdom, nothing in these Terms affects your statutory consumer rights, including the right to bring proceedings in your local courts and to benefit from mandatory consumer protection laws of your country of residence. EU consumers may use the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/odr.

14.4 Informal Resolution

Before initiating formal legal proceedings, the parties agree to attempt good-faith negotiation to resolve disputes. Please contact us at [email protected] first.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any order forms or supplementary agreements, constitute the entire agreement between you and Archy AI regarding the Services and supersede all prior agreements and understandings.

15.2 Amendments

We may amend these Terms from time to time. For material changes, we will provide at least 30 days' notice by email (to registered users) or by prominent notice on our website. Your continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services before the effective date.

15.3 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed and will not affect the validity and enforceability of the remaining provisions.

15.4 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

15.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.6 Force Majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, government action, or internet outages.

15.7 Language

These Terms are written in English. If translated versions exist, the English version governs in cases of conflict.
